  1. *Call to order, open meeting compliance, roll call, prayer and pledge of allegiance.

    Meeting called to order at 12:03 p.m. Present: G. Tommy Rowe, Paul Donohue, Kevin J. Phillips, Paul H. Mathews, E. Edwin Higbee, Jr., Wade Poulsen-General Manager, Dylan Frehner-Legal Counsel, and Shannon Simpson-Administrative Assistant. Absent: None. Prayer and Pledge said at the commencement of the Lincoln County Commission meeting.

  2. Public Comment and Discussion. No public comment.

  3. *Discussion/Possible Action: Approve/Modify minutes from November 16, 2011, meeting. Motion by Kevin Phillips to approve the November 16, 2011, meeting minutes, 2nd by Tommy Rowe, motion passes unanimously.

  4. *Discussion/Possible Action: Approval of vouchers paid on check dates December 5, and 19, 2011. Motion by Tommy Rowe to approve the payment of vouchers for check dates December 5, 2011, and, December 19, 2011, 2nd by Ed Higbee, motion passes unanimously.

  5. *Discussion: Board and Staff member reports: Board and staff reports forgone since most of the updates pertained to Item #7.

  6. Vidler Update.

    Ryan Hoerth: Dry Lake Valley from October 1, to December 13, 2011, pumped 3.5 million gallons for construction purposes. All the other basins are status quo. Tule Desert – We will meet in January 2012, to do the 5-year sampling for the monitoring mitigation plan that we have with the National Park Service.

    Steve Hartman: Working on our language relative to the stipulation for the annexation. Vidler is still talking with Sithe Global. We have a redo of the site. Notice to proceed relative to the redo of the pipeline and the well configuration that feeds into the Toquop Power Site BLM is working on and we hope to have that by the end-of-the-year or shortly thereafter.

  7. *Discussion/Possible Action: Regarding the proposed Third Amendment of Agreement between Lincoln County Water District (LCWD)/Vidler Water Company and Coyote Springs Investment (CSI) for purchase of water in Kane Springs Valley (206) from the original agreement of October 17, 2005, as previously amended. Any action may, but is not limited to, actions which are allowed by this agreement.

    Dylan: All parties have reviewed the agreement and sent it back. It does not impact the LCWD that greatly; language is still the same as the Second Amendment for the most part. There are a few minor changes but it does not impact the way that we receive our payments. Line added in Item 3 at the end of the paragraph. Also, if CSI exercises its option for the additional 500 a.f. within the next 5-years than another well will be put in, and the cost of that well will be split between the LCWD and Vidler. We believe that in the future there will be more water out there that we are seeking to obtain from the State Engineer and that will help to cover those costs.
